Terms of Service

Agent-first research assistant. The Service is an AI agent for financial-market research accessible through a desktop HUD. You can interact with the agent via (a) text input (e.g., a hot-key that opens an on-screen input box) or (b) push-to-talk voice. The agent processes your input and returns AI-generated summaries, explanations, and research cards.

Data synthesis (not advice). The agent compartmentalises and synthesises information from a mix of public sources and licensed market-data sources (collectively, "Market Information")—for example, corporate filings, news, ownership/holdings data, order/flow signals, and venue-activity datasets. Coverage, availability, and freshness vary by plan, region, provider, and time, and may change without notice. The agent may present hypotheses or potential outcomes based on Market Information. These are informational only and are not predictions, recommendations, or guarantees.

Educational use only. The Service and outputs do not consider your objectives, financial situation, or needs, and do not constitute investment advice, legal advice, tax advice, accounting advice, personal recommendations, or a solicitation to buy or sell any instrument. The Service is not a broker-dealer, investment adviser, portfolio manager, execution venue, or signal service, and is not "investment research" or a "research report" as those terms may be defined under applicable law. No fiduciary duty arises from your use of the Service.

No trading or automation. The Service does not place trades, route or execute orders, or integrate as a trade-execution bot. You remain solely responsible for your decisions and any orders you place outside the Service.

AI limitations (important). Outputs are generated by AI systems and may be incorrect, incomplete, out-of-date, or fabricated (e.g., "hallucinations"). Treat Outputs as a starting point for your own research and independently verify before acting.

Early-access (alpha). The Service is in pre-release (alpha). We are a small team. Features may be unstable, experimental, rate-limited, or withdrawn without notice. Bugs and outages will occur. Error rates may be higher than production-grade software.

Inputs. You retain any rights you have in prompts, speech, and content you submit ("Inputs"). You license us to store, process, and use Inputs to operate, secure, and improve the Service. Do not submit confidential information you do not want processed, others' personal data without lawful basis, or material non-public information (MNPI).

Outputs. The Service may generate text or other content ("Outputs"). Subject to third-party rights and these Terms, we grant you a non-exclusive, revocable license to use Outputs only for your internal, personal informational use within your own account.

Important restrictions:

• ›Do not publish, broadcast, resell, sublicense, or otherwise provide Outputs to third parties.
• ›Do not use the Service or Outputs to create, train, or improve any AI/ML models, or to benchmark or build a competing product.
• ›Outputs are not unique and may be similar or identical to those provided to others.

Information provider status. Tradetir Technologies Ltd acts solely as a provider of generic information and technical analysis tools. The Service aggregates, filters, and highlights market data based on objective technical parameters. We do not provide regulated investment services.

No personal recommendations (PERG 8.30 exemption). The AI Agent does not hold, collect, or process data regarding your personal financial circumstances, risk tolerance, or investment objectives. Consequently, no output generated by the Agent constitutes a "Personal Recommendation" as defined by the FCA Handbook (PERG 8.30).

"Execution-only" basis. You acknowledge that you use the Service on an "execution-only" basis. The AI provides data and analysis; you make all trading and investment decisions independently. The Agent has no ability to execute trades, transmit orders, or interact with brokerages or exchanges on your behalf.

Professional users. If you are a regulated firm or professional investor, you are responsible for your own compliance obligations. The Service is not designed for retail distribution by intermediaries.

Alpha status. Features are experimental and may change, break, or be withdrawn; bugs and outages will occur.

Service changes. We may change the Service at any time. We put users and quality first, but make no uptime or feature commitments.

Usage caps. We apply plan-specific rate limits and allowances. Limits may be adjusted or enforced dynamically. Attempts to circumvent limits may result in throttling, suspension, or termination.

Sandboxed architecture. You acknowledge that the Tradetir Agent executes code locally on your machine. To protect your system, the Agent operates within a restricted "Sandbox" environment designed to enforce filesystem and network isolation.

The safety perimeter. By default, the Agent is configured to:

• ›Block access to sensitive system directories (e.g., ~/.bashrc, /bin/, ~/.ssh/)
• ›Block unauthorised network egress (preventing data exfiltration)
• ›Restrict file writes to the designated workspace only

User override ("The Escape Hatch"). If you voluntarily disable, bypass, or modify the Sandboxing configuration, you assume 100% liability for any resulting system damage, data loss, or security compromise.

THE SANDBOX IS PROVIDED FOR YOUR PROTECTION. IF YOU DISABLE IT, YOU DO SO AT YOUR OWN RISK. WE EXPRESSLY DISCLAIM ALL LIABILITY FOR ANY HARM ARISING FROM OPERATION OUTSIDE THE DEFAULT SANDBOX CONFIGURATION.

Plans & auto-renewal. Paid plans are currently:

• ›Basic: £29/month
• ›Pro: £69/month

Subscriptions auto-renew monthly until cancelled. Your payment method is charged at the start of each billing cycle. Taxes (e.g., VAT) are extra.

Founder lock-in pricing. During early-access (alpha), we may offer founder pricing. If your account is designated as "Founder," the base monthly subscription fee for your then-current plan is locked and will not increase for as long as you maintain an uninterrupted, fully-paid subscription in good standing.

Price changes. We may change fees (including drastic increases after alpha). Changes apply from the next renewal after notice, except for applicable Founder accounts.

7-day money-back guarantee (MBG). For first-time subscriptions to a paid plan, you may cancel within 7 days of initial purchase for a full refund of the base plan fee, provided you have not violated these Terms. The MBG applies once per customer.

Cancellations (general). You may cancel at any time in-app; cancellation takes effect at the end of the current billing period. Except for the MBG or where required by law, fees are non-refundable, and no credits are issued for partial periods or unused allowances.

EU/UK consumer withdrawal. If you are an EU/UK consumer, you may have a 14-day right of withdrawal from the date of contract conclusion for distance contracts.

Overdue, chargebacks, and fraud. We may suspend or terminate for non-payment, chargebacks, suspected fraud, or abuse. We may refer accounts to collections or law enforcement as appropriate.

We may suspend or terminate the Service or your access at any time, including for AUP violations, suspected abuse, legal risk, or non-payment.

Breach consequence. Any violation of these Terms—including account sharing or redistribution of Outputs—may result in immediate termination and a permanent ban, without refund.

You may stop using the Service at any time.

UK/EU 14-day withdrawal: Distance contracts generally provide a 14-day cooling-off right; when services start during that period with your express request, you may owe a proportionate amount for what has been supplied up to withdrawal.

Digital content nuance: In some circumstances, if you expressly consent to immediate supply of digital content and acknowledge the consequence, you may lose the right to cancel once supply begins.

EU interface rule: We aim to support withdrawal via the same online interface used for signup, consistent with evolving EU requirements.
